Challenge to Change, Inc. reserves the right to modify these terms at any time, with or without notice. Any changes will be posted directly to this page. It is your responsibility to read these terms of use carefully and to review them periodically as content may change. By continuing to access the site after modifications have been published, you signify your agreement to be bound by them. Your compliance with the Terms and Conditions of this Agreement, grants you a personal, non-exclusive, non-transferable, limited privilege to access and use the site.

Challenge to Change, Inc. is not a medical provider and its instructors or staff cannot give you medical advice or make medical diagnoses. The Challenge to Change, Inc. site, products, and services are intended to improve fitness, health, and overall wellness. However, the Challenge to Change, Inc. site, products and services may not be suitable for everyone. Please consult your health care provider before practicing any yoga or exercise program. All suggestions and comments relating to the use of equipment, poses, moves, and instructions are not required to be performed by you and are carried out at your discretion while viewing Challenge to Change, Inc. videos. If you feel pain, discomfort, or dizziness at any time while participating in the Challenge to Change, Inc. site, products, or services, stop immediately and immediately seek medical attention.

REGISTRATION

Each registration is for one student. Sharing your account with another person or entity is strictly prohibited, and violates this Agreement

As a registered user, you agree to provide us with current and accurate information about yourself as prompted by our registration processes. You shall not misrepresent your identity including using another person’s name, username, password, or other account information. You shall not provide false details for a parent or guardian or register on their behalf.

The website is not available to any users previously removed from the website by Challenge to Change, Inc. You must be thirteen (13) years or older to complete the registration. You acknowledge that you may not sublicense, transfer, sell, or in any way assign your username to anyone and any attempt to do so; doing so will result in immediate termination of your user account.

You also agree to promptly notify us at [email protected] of any unauthorized use of your account by another person or group. In addition, you agree to log out from your account at the end of each session to further protect your account from unauthorized use.

Subject to applicable law, Challenge to Change, Inc. may suspend or terminate your account and ability to use the Challenge to Change, Inc. website for failure to comply with these terms of use, for endangering the safety of another, or for any other reasonable purpose at the sole discretion of Challenge to Change, Inc.

All trademarks, logos, name, written materials, and materials appearing in the site belong exclusively to Challenge to Change, Inc. or their respective owners. The use or misuse of these materials without the written permission of Challenge to Change, Inc. or their respective owners is expressly prohibited.

All text, images, photographs, video, sound, graphics, multimedia combinations, user interfaces, and other content (collectively, “Content”), including but not limited to the design, structure, and arrangement of such content, contained on the site is owned by or licensed to Challenge to Change, Inc. This content is protected by copyright, trademark, and various intellectual property rights.

The website, courses, course materials and any other content accessible through the course is only for educational use and may not be used for commercial purposes or in any way that is unlawful, or harms us or any other person or entity as determined by our sole discretion.

With respect to downloadable content designated for educational purposes, you may download material from the site only for educational, non-commercial use on a stand-alone basis. You may not publish, distribute, commercially exploit, create derivative works or otherwise transfer any content.

You may not use Challenge to Change, Inc. content for any nefarious purpose, including but not limited to any automated or high volume use of the Challenge to Change, Inc. website or the use of our content on any other website or networked environment, or in association with Adult, Hate, or Explicit content. Any such use is a direct violation of the Terms and Conditions contained herein.

You agree that nothing in these terms of use shall indicate the transferring of ownership of any copyrights, trademarks, slogans, service marks, trade names, designs or any other proprietary rights in the content of Challenge to Change, Inc.

CONDUCT

You agree to use the site in accordance with all applicable laws, and you acknowledge that you assume full and sole responsibility for any content that you upload, download, transmit, or otherwise process using the site. If a third party claims that any content you have contributed is unlawful, you will be responsible for establishing that the material complies with any and all applicable laws.

You agree not to post or transmit any content that:

• Is unlawful, defamatory, harassing, threatening, hateful, racially offensive, or harmful;
• Fails to appear fully clothed, or is not dressed appropriately for movement, practicing yoga, and working with adults;
• Creates a risk of any other loss or damage to a person or property;

• Infringes or misappropriates any third party’s intellectual property rights
• Contains obscene or vulgar language or images
• Advertises or contains any form of commercial solicitation
• Interferes with or disrupts any user, host, or network
• Contains automatic means to download or store data from the site

Challenge to Change, Inc. reserves the right to remove content of which it becomes aware that violates the terms of conduct.

Copyrighted material, including software, text, images, photographs, video, sound, graphics, multimedia combinations, and other content, may not be placed on the site without the express permission of their respective owner, or other legal entitlement.

Faculty members, trainers, and participants of Challenge to Change, Inc. services are expected to demonstrate respect for order, authenticity, personal and academic integrity, and rights of others. Failure to do so will be sufficient cause for termination of participation in Challenge to Change, Inc. services.

Finally, you agree that you will not access or attempt to access any other user’s account, nor misrepresent or attempt to misrepresent your identity while using the site.

FORUMS

The site may include forums containing personal opinions and other expressions of the persons who post entries on a variety of topics. The text and other material on these forums are the opinion of the specific author and are not statements of advice, opinion, or information of Challenge to Change, Inc. Challenge to Change, Inc. reserves the right to remove any content from such forums at its discretion.

Because Challenge to Change, Inc. does not control third-party websites, Challenge to Change, Inc. does not assume any responsibility for or endorse any such information, products, or services offered at these websites.

Challenge to Change, Inc. values its user’s input and are always interested in improving the site and services. By submitting feedback, comments, reviews, or suggestions, you agree that the information you provide is non-confidential and that Challenge to Change, Inc. is free to utilize it without limitation, restriction, or compensation.

STORE

Please review the Store Policy. By transacting e-commerce through the site, you agree to be bound by all Terms and Conditions set forth in our Store Policy. Any purchase made on the Challenge to Change, Inc. website for goods or services will be payable in United States Dollars (USD). You acknowledge that only an adult (at least 18 years of age or older) can enact any such transaction.

YOUR ACCOUNT

You are responsible for the confidentiality of your account and password. You agree to accept responsibility for all activities that occur under your account and to never share access or access information to your account with any third party. By registering for an account, you represent that all billing and registration information you provide is accurate. Challenge to Change, Inc. reserves the right to refuse service, remove content, cancel orders, or terminate your account or your use of the site if we determine that you have violated this Agreement or guidelines associated with appropriate use of the site. You agree that Challenge to Change, Inc., shall assume no liability to you for any such termination.

MEMBERSHIP

We may require that you provide a valid credit or debit card (“Payment Source”) at the time you register for a free trial to ensure that you have continued access to your membership after the expiration of the free trial period (“Free Trial”). Challenge to Change, Inc. will not bill your account until the Free Trial has expired provided that you have not cancelled your account during the Free Trial period. You may only use a Free Trial once unless authorized by Challenge to Change, Inc. Challenge to Change, Inc. reserves the right to terminate any account that is using or trying to use more than one Free Trial.

Memberships are billed monthly or annually. All memberships are renewed automatically until cancelled. If membership is terminated due to a violation of this Agreement, the Member shall not be reimbursed for the remainder of any paid month, nor will reimbursements be made for membership cancellations prior to any monthly renewal date. Members may cancel their membership at any time. Membership must be canceled prior to the renewal date in order to end membership charges. At times, special prepaid membership packages will be available for purchase. Special prepaid memberships will be recurring and will renew automatically on the expiry date, unless otherwise specified by Challenge to Change, Inc. Membership must be canceled prior to the renewal date in order to end membership charges.

When you purchase a membership subscription, you will initially be charged at the rate applicable at the time of your agreement to subscribe. If Challenge to Change, Inc. later increases the price of the subscription, Challenge to Change, Inc. will notify you. The increase will apply to the next payment due from you after the notice, provided that you have been given at least 10 days’ prior notice before the charge is made. If you are given less than 10 days’ prior notice, the price increase will not apply until the payment after the next payment due.

Challenge to Change, Inc. may deny you access to all or any part of the Classes or terminate your account with or without prior notice if you engage in any conduct or activities that Classes determines, in its sole discretion, violate this Agreement or the rights of Challenge to Change, Inc. or any third party, or is otherwise inappropriate.

Upon termination of your account(s) for any reason, your right to use the Classes and to access the Site and any of its content will immediately cease and all content in your account(s) will be deleted. All provisions of this Agreement that by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, limitations of liability and miscellaneous provisions.

DISCLAIMER OF WARRANTY

CHALLENGE TO CHANGE, INC. DOES NOT GUARANTEE THAT THIS SITE OR ANY INFORMATION, PRODUCTS, OR SERVICES OFFERED THEREIN WILL OPERATE UNINTERRUPTED, ERROR-FREE, OR THAT ANY ERROR WILL BE CORRECTED. CHALLENGE TO CHANGE INC. DOES NOT WARRANT THAT CHALLENGE TO CHANGE, INC. SITES OR SERVERS ARE FREE OF HARMFUL COMPONENTS.

You assume full responsibility for your use of the site. You agree that access to and use of information through the sites is at your own risk.

LIMITATION OF LIABILITY

By choosing to use the site, you release Challenge to Change, Inc. from all liability resulting from your use of the site. In no event will Challenge to Change, Inc. be liable for any loss or damages, whether foreseeable or unforeseeable (including without limitation incidental, consequential, indirect, punitive, or special damages, including lost profits, bodily injury, emotional distress, or death), arising out of or relating to your use or inability to use the site, or any purchase on the site, or your reliance upon the content obtained from or through the site, or Challenge to Change’s services or the terms of this Agreement. Subject to applicable law, Challenge to Change, Inc. reserves the right to suspend indefinitely your access to the Challenge to Change, Inc. website or change the Challenge to Change, Inc. website or delete content or features in any way, at any time and for any reason without liability or notice.

INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Challenge to Change, Inc. and Challenge to Change’s officers, directors, employees, agents, and affiliates from any and all claims, liabilities, expenses, losses, and damages, including legal costs and fees, made by any third party due to or arising out of or in connection with your use of the site, or your violation of any law or rights of a third party.

LAW AND JURISDICTION

You agree that all matters relating to this site will be governed by the laws of the United States and by the laws of the State of Iowa, excluding its conflicts of law provisions. You further agree to the personal jurisdiction by and exclusive venue in the federal and state courts located in and serving Dubuque County, Iowa, as the legal forum for any such litigation, and waive any objection to such jurisdiction or venue.

This site is intended for use by residents of the United States of America. If you are located outside of the United States, please be advised that any information you provide to us will be transferred to the United States. By submitting this information, you explicitly authorize the transfer and processing of this information within the United States.

To the extent permitted by any applicable law, you hereby that any cause of action you may have arising out of or related to these terms of use or participant on the Challenge to Change, Inc. website must begin no more than one (1) year (or longer if the minimum applicable statutory period prescribes) after the cause of action takes place; after this period, any such cause of action shall be permanently null and void.

TERMINATION OF TERMS

You may terminate these terms of use at any time deleting your account, or otherwise discontinuing use of the Website and removing and destroying all materials (for example, software, and files) obtained from the Website from your personal computer. We may terminate these Terms of Use at any time at our absolute sole discretion including but not limited to your fraudulent or unlawful use of the website or copyright infringement of any kind.

GENERAL

These Terms and Conditions, together with the Privacy Policy and the Store Policy, constitute the entire Agreement between you and Challenge to Change, Inc., and supersede any and all prior or contemporaneous oral or written agreements. If any of the above terms or conditions are deemed invalid or unenforceable for any reason, then these provisions will be served and all remaining provisions will remain in full effect. Failure of Challenge to Change, Inc. to enforce any provisions set out in these Terms and any agreement shall not be construed as a waiver of such provisions and shall not affect the validity of these terms, or right thereafter to enforce each and every provision.

In so doing, we strive to be fair, ethical, and reasonable in everything we do, and to act in the best interest of our students.
